Job Description

As the Senior Contracts Manager you will be there to support the management by translating legal, contract and export expertise into practical, applicable and commercial advice for the business.

Primary Responsibilities

·     Contracts (various: including formal, short form, and annual contracts)Drafting, Evaluation, Negotiation and Execution: 

·    Non-disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Master Agreements, review of customer proposed terms and conditions.

·        Distribution Agreements (resellers, agents, joint marketing etc.)

·        Commercial and Public (Government, Federal, State and Local Municipalities) Contracting.

·        Serve as prime point of contact for customers on contractual matters. Act as contractual liaison between Sales & Purchasing for customers and suppliers, ensuring timely review and approval / reconciliation of variations.

·        On all standard and non-standard contracts, provide redlined recommendations and when required negotiate directly with customer lawyers and/or purchasing staff until consensus has been reached.

·        Able to solely manage a Legal department and control work packages accordingly across platform regions, including liaison with external counsels as deemed appropriate.

·        Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects to be in a state of legal compliance.

·        As needed, provide guidance on contract matters to project managers or other operational staff, including training to new project managers and other employees in contracting practices and procedures.

·        Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies. Liaise with the General Counsel to report and escalate any litigation threats.

·        Work with Finance to coordinate contractual insurance requirements to protect against un-contractual costs and mitigate any risk to the company.

·        Support Product Management / Marketing to ensure company products and services are offered with appropriate, competitive terms and conditions

·        Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes.

·        Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.

·        Oversee Service Level Agreement Compliance

·        Ensure contract close-out, extension or renewal and project handover to the key project managers.

·        Review and where required assist in the negotiation and agreement of all aspects of supplier and partner contracts.

·        Is able to train legal skills and processes to colleagues.

Qualifications

·        University degree (preferably Law or Contract Management)

·        Must have full awareness of all critical clauses in any commercial contract.

·        Is able to argue a case based on facts and evidence with the ability to influence a desired outcome.

·        Able to demonstrate significant post qualification experience, primarily in the area of commercial contracting and complex commercial transactions within a law firm or corporate legal department of an industrial company

·        Able to demonstrate sound experience of the majority of areas of work listed as Primary Responsibilities of this role.

·        Experience and knowledge of the Defence Sector and knowledge of large tender contract documents.

·        Has keen Commercial awareness - detailed, budgetary and strategic.

·        Excellent communication and presentation skills - both written and spoken.

·        Knowledge of UK export licence regulations and compliance including Dual Use and Military control lists.

·        Knowledge of US export licence regulations and compliance including EAR and ITAR legislations. Knowledge of commercial Aerospace contracts are an advantage.

·        Understanding of other national export compliance requirements as may be required.

·        Has knowledge of Incoterms.

·        Is able to raise the profile and professionalism of the Legal department across the Business.
